19 世紀はじめのナポレオンの欧州征服による1807年の古いフランス商法典（Code de commerce 1807）のコピーが第一波であるとすれば、それに次いでおこった、19世紀後半の欧州の産業革命の伝播と、各国の地政学な関係に導かれた商法典の近代的な変容は、第二の波であったといえる。この第二の波、すなわち株式会社設立の準則主義などの自由主義的な原理を含む変化の拡大は、フランスの1862年のイギリス会社法（Companies Act 1862）、1867年のフランス会社法（Loi du 24 juillet 1867 sur les sociétés commerciales）、1870年および1884年のドイツ株式法改正（Aktiennovelle 1870 und 1884）、1881年のスイス債務法（Schweizerisches Obligationenrecht 1881）、1882年のイタリア商法典（codice di commercio italiano 1882）に代表される。いずれも、各国において現代に至る商法（ないしそこから分離した会社法）の直接の基礎をなすものである。
19 世紀後半に初めて商法典編纂に立ち向かった明治政府と商法起草者ヘルマン・ロェスラー（Hermann Roesler）を囲繞していたのは、まさに第二の波が席捲しつつある世界であった。1884年のロェスラーによる商法草案は、かれの外交顧問としての職務に忠実に、第二の波を過剰なまでに意識したものであった。欧米商法の万華鏡ともいえる高度な商法草案の翻訳を担当した日本人の官僚たちは、短期間のうちに第一と第二の波を理解し、咀嚼するプロセスに追われた。不十分ながらその成果といえるのが、1890年（明治23年）の旧商法典であった。
If the first wave could be said to be a copy of the old French code de commerce 1807, established following Napoleon's conquest of Europe at the beginning of the 19th century, the next wave instigated by the spread of the industrial revolution in Europe in the latter half of the 19th century and the modern transformation of the Commercial Code, which was guided by the geopolitical relations of various countries, can be said to be the second wave. This second wave, in other words, the development of changes, including the principle of liberalism such as the rule-based approach of establishing a corporation, was reflected in the UK Companies Act of 1862, the French Law of July 24, 1867 amending the Code de Commerce (Loi du 24 juillet 1867 sur les sociétés commerciales), the amendment of the German Stock Corporation Act in 1870 and 1884 (Aktiennovelle 1870 und 1884), the Swiss Code of Obligations of 1881 (Schweizerisches Obligationenrecht 1881) and the Italian Commercial Code of 1882 (codice di commercio italiano 1882). Both waves became the direct foundation for modern commercial law, or corporate law separated from it, in each country.
Affecting the Meiji government and Hermann Roesler, who first tackled the compilation of the Commercial Code in the latter half of the 19th century, was the world in which the second wave was sweeping. Due to his work as a diplomatic advisor, Roesler's draft of the Commercial Code of 1884 was faithful, perhaps even overly conscious of the second wave. The Japanese bureaucrats who were in charge of translating the sophisticated Draft Commercial Code, which could be called a kaleidoscope of Western commercial law, rushed into the process of understanding and digesting the first and second waves within a short space of time. The result, though imperfect, was the old Commercial Code of 1890 (Meiji 23).
