明治期における商法典の成立史について「ロェスレル商法草案」(明治17年脱稿)を中心として研究を行った。その結果、同草案は、当時の最尖端の比較法学的知見に基づいており、ドイツ法由来という従来の通念には、大幅な修正が必要であるという結論に達した。
とりわけ草案では、株式会社のガバナンスについては、英独仏法折衷の極めてオリジナルな構想、すなわち、取締役会と監査役会との相互牽制の機関構造が採られており、それが今日の会社法に本質的に引き継がれていることを明らかにしえたと思う。
Focusing on the Japanese Commercial Code drafted by the German scholar Hermann Roesler in 1884, I conducted research on the history of the drafting and enactment of the Code in the Meiji-era in Japan. As a result, I was able to demonstrate that this draft was based on the latest comparative jurisprudence knowledge of those days, and I reached the conclusion that the conventional common conception of the 'German origin' of the Code does need some correction. In Roesler's draft proposal regarding the governance of incorporated companies, the organization structure is based on a very original concept derived from a comparison and compromise between the English, German and French model; the draft stipulates the mutual supervision of the board of directors and the auditor's board. From this perspective, I was able to conclude that the 'Roesler-type' organization of governance has essentially, but without being aware of these historic precedents, been revived in Japan's Company Act of 2005.
