本研究は, 株式の本質, 株式の発生・移転・消滅に関わる, 会社法学における基礎理論の再検証・再構築を目指すものである。2-3年後を目途に, 研究成果をまとめる予定である。株式制度をめぐっては, 平成17年の会社法制定前から規制緩和やグローバル化といった様々な要請に基づき改正が行われ, また, 近時, 関連する重要判例が重ねられてきた。他方, 規制緩和は多様な実務状況を生じ, 伝統的議論に照らせば疑問に思われる事項も既成事実化しつつある。急速に進展する状況に学理的検討が追いつかない状況となっている。こうした現状を踏まえ, 本研究は, 株式制度をめぐる基礎理論を, 改めて検証し, その再構築を目指すものである。具体的には, 属人的種類株式制度を含む種類株式制度や自己株式制度の検討を通じ, 株式の本質, および株主平等原則の規範的位置の再検討, 株式・出資・資本の3者の関係を探り, 会社法下では存在自体に議論のある資本充実原則の再検討, 株券不発行・株券発行・振替株式・株主名簿の諸制度における株式の譲渡・一般承継と株主資格設定をめぐる議論の再検討, および場面に応じてばらばらに議論されてきた観のある株式評価について, これを整理統合しうる基礎理論を再検討し, これらを総合して株式制度をめぐる基礎理論の再構築を目指すものである。塾内外の研究者・実務家との意見交換を通じて議論を深めることとしているが, 本年は2回の中間報告会を開催した。すなわち, 2017年11月25日に三田で, 2018年3月5日, 6日に立命館大学(京都)で研究会を開催し, 本研究に関する検討状況を報告し, 検討した。また, 各自が, 研究成果の一部を書籍, 論文などの形で公にした。次年度以降, さらに検討を続ける予定である。
This research aims at reconstructing the fundamental theory over the stock system in corporate law, related to the essence of shares, stock generation, transfer, annihilation. We plan to summarize the results of the research two or three years later. Regarding the stock system, revisions have been made based on various requests, such as deregulation and globalization, before the establishment of the Companies Act (Act No. 86 of July 26, 2005), and important cases have also been accumulated. On the other hand, deregulation creates diverse practical situations, and matters that appear to be doubtful in light of traditional discussions are also being appeared. Academic studies can not catch up with rapidly progressing situations. Based on these circumstances, this research aims to review the fundamental theory over the stock system and reconstruct it through examination of the class share system and the treasury stock system, reexamination of the nature of shares and the prescriptive position of shareholder equality principles, examination of the relationship between the stock, equity and capital, reexamination of the principle of capital, reexamination of discussion on the transfer of shares in various systems and shareholder qualification, and reexamination of the stock evaluation. We have been planning to deepen the discussion through exchange of opinions with researchers and practitioners inside and outside Keio University, but this year we held two interim reporting sessions. The first of them was in Mita Campus on November 25, 2017 and the second was at Ritsumeikan University (Kyoto) on March 5 and 6, 2018. In these meetings We reported the statuses of the study on this research and examined them. In addition, each person made public some of the research results in the form of books, articles, etc. We plan to continue further study after the next fiscal year.
