1. 研究の趣旨
経済活動のグローバル化は, 国家法から解放された共通ルールを確立しようとする国際社会の流れを益々強いものにしている。その象徴とも言える事象は1988(昭和63)年に発効したウィーン売買条約(CISG)の全世界的規模における受容である。日本でも平成21年8月1日から発効するに至っている。全世界の貿易取引の3分の2が同条約の適用される取引であり, また, 日本の国際売買の8割が同条約加盟国との取引である。しかしながら, 同条約は任意法規であるため, 日本の大企業には同条約の適用を排除している企業もある。その理由は同条約が適用された場合の結果の予測が困難であるということである。他方, 諸外国で下された同条約をめぐる判決や仲裁判断は膨大な数にのぼっている。すなわち, それらの判決例や仲裁判断例を分析・検討することによって同条約が適用された場合の結果の予測はかなり立つ状況にある。さらに, 同条約が謳う適用態様の世界的統一を実現するためにも, 諸外国の判決および仲裁判断を分析・検討することは極めて重要な意義を有する。
2. 研究の内容
日本の裁判所や仲裁廷で同条約が適用されることとなった現在, 裁判官や仲裁人の指針となるべく, 諸外国の学説, 判決および仲裁判断の分析・検討は急務である。また, 国際売買契約の当事者にとっても, 予測可能性を確保することは喫緊の課題である。そこで, 申請者は, 近年, 諸外国の判決等を題材にして, 同条約全般にわたる解釈上の諸問題を分析・検討してきた。また, 日本企業のCISGに対するスタンスについての調査も行ってきた。今後も引き続きこのような実証的な研究を継続していく所存であり, 近々, 実務の指針とするべく, 上記のような問題意識を反映させた概説書を出版する予定である。
なお, 一昨年度, 申請者のHP上に, CLOUT(CISGに関する判決・仲裁判断のデータベース)に掲載されている判決・仲裁判断の日本語訳(訳出は申請者担当の「テーマ演習」受講生と申請者との共同作業)のデータベースを構築し, その後, 随時更新している。引き続き, 掲載判決・仲裁判断を増やしていき, より充実したものにしていく所存である。
1. Purport of research
The globalization of economic activity is making the flow of the international community increasingly stronger to establish common rules released from national law. The symbol of this trends is the acceptance on the global scale of CISG which came into effect in 1988. In Japan it has come into force as from August 1, 2009. Two-thirds of trade transactions worldwide are transactions to which the Convention applies, and 80% of international trade in Japan is a transaction with Members of the Convention. However,some Japanese companies exclude the application of the Convention. The reason for this is that it is difficult to foresee the results when the Convention is applied. On the other hand, there are enormous numbers of rulings and arbitral awards on the Convention issued in other countries. In other words, by analyzing and examining judgments and arbitral awards, the prediction of the results when the Convention is applied stands quite a bit. Furthermore, in order to realize the worldwide unification of the application sought by the Convention, it is extremely important to analyze and examine judgments and arbitral awards of other countries.
2. Content of research
Analysis and examination of the theories, judgments and arbitral awards of foreign countries are urgent. Therefore, in recent years, the applicant has analyzed and examined interpretation problems throughout the convention. We have also conducted surveys on Japanese firms' stances toward CISG. We will continue to research in the future and will soon publish an outline reflecting the problem.
In addition, in the fiscal year 2009, on the applicant's website, the Japanese translation of the judgments and arbitral awards published in CLOUT has been built and then updated from time to time. We will continue to increase judgments and arbitral awards, and we will make it more fulfilling.
