| Abstract |
IPOの値付けがブックビルディング方式に変更されて以来，1）日本の平均初期収益率は米国や他の先進諸国と比べて異常に高いこと，2）その高さはもっぱら小規模企業のIPOによってもたらされていること，3）高い初期収益率の発生を可能にしている仕掛けは仮条件の硬直性にあることの3点を明らかにする。この現象に対して，引受主幹事を務める大手証券会社が，業界の慣習と価格交渉力の強さを利用して，公開価格を「必要以上に」低く設定しているという解釈をその動機とともに提示する。仮説と整合的な事実をいくつか示したのち，歪んだ値付けのもたらす弊害を明らかにし，是正に向けた提言を行う。
