この講演の前半では, 日本におけるコーポレートガバナンス改革のこれまでの経緯を振り返った上で, そのこれからを展望する。2015年にコーポレートガバナンス・コードが策定されたことは, これまでの改革の大きな成果の一つだといえる。講演の後半では, 銀行のリスク・ガバナンス強化という課題をとりあげ, そのためのリスクアペタイト・フレームワークという考え方を紹介する。ガバナンス改革をめぐる課題は, 銀行についていうと三つである。すなわち, 執行と監視の分離による取締役会のモニタリング機能の強化, 内部監査機能の強化, それからリスクアペタイト・フレームワークの構築である。
In the first half of this lecture, I survey the prospects of the corporate governance reform in Japan after having looked back on its past process. It can be said that it is one of big achievements of the former reform that Japan's corporate governance code was settled on in 2015. In the latter half of the lecture, I take up a problem as strengthening the risk governance of banks. Concerning the problem over the governance reform about banks, there are three challenges. Those are the enhancement of the monitoring function of the board of directors by the separation of the executives and the monitors, the strengthening of the internal audit function and the construction of the risk appetite framework.
