本年度は、とりわけドイツのファミリービジネスにおける財団所有企業に焦点を当てて、その概要や特質、また理論的応用可能性について検討を行った。『三田商学研究』に掲載の研究ノートにおいては、まずドイツのファミリービジネスの概要として、その位置づけ、経済的パフォーマンスなどを明らかにした。そしてドイツにおける「財団」の概要を明らかにし、ドイツにおいては財団が増加傾向にあること、そして財団の共通した特徴が目的、資産、組織にあることを明らかにした。さらに、財団の設立理由としては、家族的理由、理念的理由、経済的理由が挙げられる。最大の特徴は、財団には、株式会社における株主のような所有者も構成員もおらず、ガバナンス主体がいないということである。この点については、財団所有企業が通常の株式会社の論理と大きな差をもたらす点となる。財団の種類は多様であり、公法あるいは私法によって様々な形態がある。特に企業に関わるものとしては企業財団が重要である。企業財団には同族財団と公益財団があり、前者は同族の利益、後者は公益が重視される。またその他に財団の「代替形態」として財団合資会社や二重財団があり、ガバナンスの点で大きな特異性が見られることを明らかにした。また別の論文では、財団所有企業の特質を簡単に明らかにし、上で見たとおり、財団が企業を所有することで、株式会社の株主のようなガバナンス主体がいないという大きな特質を持つことを確認した上で、ファミリービジネス研究において取り上げられるスリーサイクルモデル、エージェンシー理論、スチュワードシップ理論、資源ベース理論、社会情緒資産理論を検討し、それが上記の特質を持つ財団所有企業の分析においては限定的な役割しか果たさないことを明らかにした。
In the current fiscal year, we focused particularly on foundation-owned firms in German family business, examining their overview, characteristics, and theoretical applicability. In a research note published in ‘Mita Shogaku Kenkyu’ we first clarified the overview of German family businesses, including their positioning and economic performance in Germany. Subsequently, we shed light on the overview of ‘foundations’ in Germany, revealing that foundations are on the rise and share common features related to purpose, assets, and organization. Furthermore, we explored the reasons behind establishing foundations, which include family motives, ideological reasons, and economic considerations.
The most significant feature is that foundations lack both shareholders and members akin to those in joint-stock companies, resulting in a distinct governance structure. This divergence from the logic of regular corporations is a hallmark of foundation-owned enterprises. The types of foundations are diverse, with various legal forms under public or private law. Notably, corporate foundations play a crucial role in the context of businesses. These can be categorized as family foundations and public interest incorporated foundations, with the former prioritizing family interests and the latter emphasizing public welfare. Additionally, alternative forms of foundations, such as foundation partnerships and dual foundations, exhibit unique governance characteristics.
In another paper, we briefly elucidated the characteristics of foundation-owned companies. As observed earlier, the absence of governance entities resembling shareholders in joint-stock companies is a significant trait resulting from foundation ownership. We then examined the Three-Cycle Model, Agency Theory, Stewardship Theory, Resource-Based Theory, and Social-Emotional Asset Theory—commonly addressed in family business research. However, we found that these theories have limited applicability in analyzing foundation-owned firms with the aforementioned distinctive features.
