収益認識の新しい基準である「履行義務の充足」と従来の実現概念の関係を検討する前に,そもそも「履行義務の充足」を実務的にコンバージ可能であるかを検討する必要があるという結論に至った。そこで,新収益認識基準の影響を大きく受けており,かつ,状況がシンプルであるリースにおけるレッサーの履行義務の充足を検討対象とした。
すべてのリースが履行契約としてバランスシートに認識されるためには,従来未履行契約とされていたオペレーティング・リースを履行契約とみなす必要があるが,未履行契約を認識しないという従来の枠組を変えずにそれを行うには,いくつかの概念操作が必要なはずである。そこで,FASBとIASBの共同プロジェクトの経緯を詳細に検討し,リースの定義に関する議論から3つの変化を発見した。1つは,それまで"arrangement"と定義されていたものを"contract"というより拘束力の強い言葉に変更している点である。2つ目は"in exchange for consideration"とすることで,その契約が「交換」であることを明確にし,リース開始時にレッサーが資産を引き渡せば交換取引におけるレッサーの義務は遂行されると解釈できるリースに絞っている点である。3つ目は交換される財として従来「資産を使用する権利」とされていたものを「特定された資産の使用を支配する権利」という表現に変えている点である。これはリースからレッシーにもたらされる権利が債権的にしか構成されないと履行契約(片務未履行契約)として認識することは難しいが,物権的に構成されればいわゆる財産権が移転する,と解釈され履行契約としてみなしやすくなるからである。リースの物権的な解釈は,英米法圏でも,大陸法圏でも可能であることも確認した。
この研究から,契約が各法域でどのように解釈されるかにまで遡って検討することで,「書かれた基準」の捉え方自体をコンバージできることが示された。収益認識はより複雑な事象ではあるが,この成果は収益認識基準が単に文言をコンバージしたものではなく,実質的にコンバージさせるための,重要な基礎を提供すると考える。
In examining the concept of "satisfaction of performance obligation", which is an important concept in the new accounting standard for revenue recognition, we examined the satisfaction of the performance obligation by a lessor in lease accounting, where the situation is simpler.
In order to recognize all leases on the balance sheet as partially executed contracts, operating leases that were previously considered as executory contracts need to be re-considered as partially executed contracts.Then,we examined the argument of the joint project by FASB and IASB and found that definition of a lease has been changed from three perspectives.
First, the lease, which was previously defined as an "arrangement," was changed to "contract," Second,it is emphasized that a lease is an "exchange" by adding the words "in exchange for consideration", then this restricted the definition of a lease to only those transactions that can be regarded as partially executed contracts.
Third,they changed the wording of the goods to be exchanged from "the right to use an asset" to "the right to control the use of an identified asset." This would make it easier to treat the lessee's right to use the lease asset as a property right (in rem right) and to regard the lessor's obligation as having been fulfilled at the commencement of the lease.This interpretation is consistent with the systems of Anglo-American Law and Continental Law.
This study showed that we can converge our understanding of the "written standard" itself by looking back to how contracts are interpreted in each jurisdiction.
Although revenue recognition is a more complex event, we believe that this outcome provides an important basis for the revenue recognition standard to be substantively converged rather than merely worded.
