本研究は、株式の本質、株式の発生・移転・消滅に関わる、会社法学における基礎理論の再検証・再構築を目指すものである。2-3年後を目途に、研究成果をまとめる予定である。株式制度をめぐっては、平成17年の会社法制定前から規制緩和やグローバル化といった様々な要請に基づき改正が行われ、また、近時、関連する重要判例が重ねられてきた。他方、規制緩和は多様な実務状況を生じ、伝統的議論に照らせば疑問に思われる事項も既成事実化しつつある。急速に進展する状況に学理的検討が追いつかない状況となっている。こうした現状を踏まえ、本研究は、株式制度をめぐる基礎理論を、改めて検証し、その再構築を目指すものである。具体的には、属人的種類株式制度を含む種類株式制度や自己株式制度の検討を通じ、株式の本質、および株主平等原則の規範的位置の再検討、株式・出資・資本の3者の関係を探り、会社法下では存在自体に議論のある資本充実原則の再検討、株券不発行・株券発行・振替株式・株主名簿の諸制度における株式の譲渡・一般承継と株主資格設定をめぐる議論の再検討、および場面に応じてばらばらに議論されてきた観のある株式評価について、これを整理統合しうる基礎理論を再検討し、これらを総合して株式制度をめぐる基礎理論の再構築を目指すものである。塾内外の研究者・実務家との意見交換を通じて議論を深めることとしているが、本年は2日間にわたる中間報告会を開催した。すなわち、2018 年8月10日〜11日に、三田キャンパスにて研究会を開催し、本研究に関する検討状況を報告し、学外の研究者も交えて、検討した。また、各自が、研究成果の一部を書籍、論文などの形で公にした。次年度も、さらに検討を続け、学会（日本私法学会・於立教大学）にてシンポジウムを開催し、報告の予定である。
This research aims to re-examine and restructure the basic theory in corporate law, which relates to the nature of stocks and the generation, transfer and extinction of stocks. We plan to summarize the research results in 2-3 years. The stock system has been amended based on various requests such as deregulation and globalization before the enactment of the Company Act, in 2005, and recently, relevant important precedents have been repeated. Deregulation, on the other hand, creates a variety of practices and matters that are questionable in the light of traditional debate are becoming established facts. It is a situation where scientific examination cannot catch up with the rapidly progressing situation. Based on this current situation, this study aims to re-examine the basic theory of the stock system and to restructure it. Concretely, through the examination of the kind stock plan including the personal kind stock plan and the treasury stock plan, the nature of the stock, the reexamination of the normative position of the shareholder equality principle, and the relationship among the equity, equity and capital Under the Company Act, reexamination of the principle of capital adequacy that is itself present under the Company Act,, non-issuance of shares, issue of share certificates, transfer of shares, discussion of transfer of shares in various register plan systems, general succession and establishment of shareholder qualification With regard to reexaminations and stock valuations that have been discussed separately depending on the situation, reexamine the basic theory that can be consolidated and integrated this, and aim to reconstruct the basic theory over the stock system by combining them It is a thing. We are planning to deepen discussions through exchange of opinions with researchers and practitioners inside and outside Japan, but this year we held an interim debriefing session that spans two days. In other words, a research meeting was held at the Mita Campus on August 10-11, 2018, and the status of the study regarding this research was reported, and it was reviewed with researchers from outside the university. In addition, each made some of the research results public in the form of books, papers, etc. In the next fiscal year, we will continue to study further and hold a symposium at the academic conference (Japan Association of Private Law, at Rikkyo University) and will report.
