2018年度の研究は、２年計画の２年目であり、引き続きアメリカの対内直接投資規制の変遷と現状について検討を行った。成果の一部については、既に公表したところである。
アメリカではオバマ大統領の民主党政権時代より、安全保障の見地からの対内直接投資法の見直しが始められていた。トランプ大統領の共和党政権に入ってもその動きは踏襲されており、その結果として2018年8月に改正法である外国投資リスク審査現代化法（FIRRMA）が成立した。この背景には、中国が「中国製造2025」等の産業政策を通じて製造強国となってきたことがあり、FIRRMAはこれに対抗して規制の強化を実現したものである。アメリカの対内直接投資規制の見直しをめぐっては、改正前に目立つようになったデータ保護をめぐる問題が、どのように反映されるのかが注目されていた。FIRRMAの全面施行は、成立から最大で18ヶ月後となっているため、2019年の後半以降に正式な規則が定められることが予想されている。
FIRRMAは、中国に対するアメリカの懸念に対処するための法であると同時に、アメリカがデータ保護の必要性を打ち出した法ということができる。FIRRMAは、1713条において、CFIUSの保有する安全保障に関する分析や行動についての情報を、一定の条件の下に同盟国と共有することを定めており、そのために必要となる手続を設けることとした。そこで、日本政府としてもアメリカとの連携を密にし、データ保護を含む対内直接投資規制の問題に対応していくことが求められている。
第５世代移動通信規格の展開が迫る中、対内直接投資規制の見直しは、まだ始まったばかりとみることができる。規制手段が自由な経済取引を損なうものではないのか、規制の透明性をいかに確保するかと行った点が、今後の課題となるものと考えられる。
In the second year of a two-year research plan, the 2018 research considered the trend and the present status of foreign direct investment regulation of the United States. A part of the analysis has already been published.
The United States started a review of the regulation of foreign direct investment in the U.S. from the national security viewpoint, under the administration of President Obama of the Democratic Party. The administration of President Trump of the Republican Party continued the review, leading to the enactment of the revised Foreign Investment Risk Review Modernization Act (FIRRMA) in August 2018. The revision is designed to tighten the control of foreign investment in the U.S., in response to China's increasing manufacturing power accompanied by the policies including "China Manufacturing 2025." The data protection issue became more visible before FIRRMA came into effect. How this issue would be reflected in the revision has drawn much attention. Since FIRRMA is to be fully implemented within 18 months after the enactment, the formal rules are likely to be determined in the second half of 2019.
FIRRMA is the Act for the U.S. to cope with the concerns about China and is also the one to spell out the need for data protection for the first time. FIRRMA Section 1713 stipulates that the U.S. should share the information of the analyses and actions related to the national security that CFIUS maintains with allied nations under certain conditions, and calls for the establishment of procedures required to do so. Accordingly, the Japanese government needs to work closely with the U.S. to address issues of control of foreign direct investment including data protection.
Although the fifth-generation mobile communications standards will soon be implemented, the review of the control of foreign direct investment is deemed to have just begun. The issues to be addressed will likely include whether the control method harms free economic transactions and how to secure transparency of the control.
