本研究ではファミリー企業のコーポレートガバナンスの状況を実証的に検証することを目指した。コーポレートガバナンスの状況を表す指標として経営者交代に注目した。経営者交代の業績への感応度はコーポレートガバナンスの善し悪しを示す指標として先行研究でも広く使われている。すなわち業績の悪化時に経営者が交代させられることをコーポレートガバナンスが機能している証であると考えるのである。逆に業績が悪化しているにも関わらず経営者交代が起きず, 経営者が居座っている状況をコーポレートガバナンスが機能していない状況と考えるのである。そのために1990年から2013年の東証1部上場企業の企業業績(総資産利益率, 株主資本利益率, 株式投資収益率)の悪化が経営者交代確率に与える影響を実証的に分析した。分析の結果, 企業業績が悪化すると経営者交代の確率が統計的に有意に上昇していた。しなしながら, このような関係は社長が取締役に残るような交代では見られず, 社長が取締役として残れない交代の時のみ見られた。このような関係は1990年から2013年まで一貫して見られたが, 経営者交代確率を増加させる企業業績は変化していた。1990年から1997年までは総資産利益率が最も強い影響を与えていたが, 1998年以降は株主資本利益率や株式投資収益率が強い影響を持つようになってきていた。この結果は, 近年の株主, とくに外国人機関投資家の増加に伴う株主の利害を重視する動きと一致するものである。ファミリー企業では経営者交代確率が非ファミリー企業よりも有意に低かった。また企業業績への経営者交代の感応度も非ファミリー企業と比較して有意に弱かった。この結果は, ファミリー企業のコーポレートガバナンスが非ファミリー企業とは異なっていることを示している。
We examine corporate governance in family firms empirically. For this purpose, we examine the turnover of top executive in Japanese firms throughout the period 1990–2013. Many previous researches show that replacing poorly performing top managers is a necessary condition for good corporate governance and the sensitivity of top manager turnover to performance as a measure of the quality of corporate governance. Top executive turnover was overall significantly negatively sensitive to all of the performance indicators : ROA, ROE, and RET. This results show that top executive turnover sensitivity to corporate performance has not changed in spite of skepticism on corporate governance of Japanese firms. In addition, we find that there is the shift from return on assets (ROA) to return on equity (ROE) and stock returns as performance indicators that turnover is most sensitive to. Generally, top executive turnover at family-run firms occurs through hereditary succession ; thus, we can predict that turnover sensitivity to performance decreases with managerial ownership and when the manager is a member of the founding family of the company. We confirm this prediction. We find that the frequency of top executive turnover and sensitivity to firm performance are significantly lower in family firms.
